Skedge Terms of Service

1. Overview

Skedge is a software platform that helps organisations manage contracts and generate billing runs based on contract data.

These Terms of Service ("Terms") govern your use of the Skedge platform ("the Service"). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, you may not use the Service.


2. Description of the Service

Skedge provides tools to assist organisations in:

  • managing clients and contracts
  • storing contract line items
  • calculating billing runs
  • applying escalation rules such as CPI or prime rate adjustments
  • exporting billing information

The Service may also include automated tools that extract data from uploaded documents.

Skedge is intended to assist billing workflows, but it is not an accounting system and does not issue invoices on behalf of users.


3. Accounts

To use the Service, you must create an account.

You agree to:

  • provide accurate information
  • maintain the security of your login credentials
  • be responsible for activity within your account

Accounts belong to organisations. Each organisation is responsible for managing its own users.


4. Free Trial and Fees

New organisations may receive a free trial period.

After the trial expires, continued use of the Service may require payment.

For early versions of the Service, payment may be handled manually via electronic funds transfer.

Failure to pay required fees may result in suspension of the account.


5. Customer Responsibilities

Customers are responsible for:

  • entering accurate contract information
  • reviewing billing results before issuing invoices
  • ensuring exported billing data is correct

Skedge performs calculations based on user-provided data. Users must verify outputs before relying on them for financial purposes.


6. Billing Calculations

The Service may perform automated calculations including:

  • CPI adjustments
  • prime rate adjustments
  • percentage escalations
  • recurring billing calculations

These calculations are generated based on system configuration and available data.

Because contract data and billing rules vary between organisations, users remain responsible for verifying billing outputs before issuing invoices or financial statements.


7. Uploaded Documents

Users may upload documents such as contracts or agreements.

By uploading documents, you confirm that:

  • you have the right to upload the documents
  • the documents do not violate applicable laws or third-party rights

Automated extraction tools may not always produce perfect results. Users must review extracted information before saving or using it.


8. Data Ownership

Customers retain ownership of the data stored in their organisation account.

Skedge processes this data only for the purpose of providing the Service.

We do not sell customer data.


9. Acceptable Use

You may not use the Service to:

  • violate laws
  • interfere with system security
  • upload malicious software
  • attempt to access other organisations' data
  • abuse or disrupt the platform

Accounts that violate these rules may be suspended or terminated.


10. Availability

We aim to provide reliable service but cannot guarantee uninterrupted availability.

The Service may occasionally be unavailable due to maintenance, upgrades, or technical issues.


11. Limitation of Liability

The Service is provided "as is".

To the extent permitted by law, Skedge and its operators will not be liable for:

  • indirect or consequential damages
  • loss of revenue
  • loss of data
  • financial losses resulting from billing errors

Users are responsible for reviewing all billing calculations before issuing invoices.


12. Termination

You may stop using the Service at any time.

We may suspend or terminate accounts if:

  • these Terms are violated
  • required payments are not made
  • the Service is discontinued

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa.
